Welcome to WRAP&SELL by Aida Pioneer Inc. By accessing or using our website and services, you (“Client”) agree to be bound by these Terms and Conditions (“Terms”). Please read them carefully before submitting a brief or making any payment.

1. Services

• We provide packaging design services in accordance with the Client’s submitted brief.
• Services include up to 3 initial design concepts, up to 3 SKUs, up to 2 rounds of revisions, and delivery of final files (AI, PDF, PNG, JPEG).
• Printing, production, and any services beyond design are not included.

2. Project Timeline

• The project timeline is 14 calendar days, starting from the later of:
• (i) receipt of Client’s completed brief, and
• (ii) receipt of the required deposit.

3. Fees and Payment

• The total fee for the Services is $5,000 (five thousand U.S. dollars).
• A 25% non-refundable deposit ($1,250) is due before work begins.
• The remaining 75% ($3,750) must be paid before delivery of the final files.
• Failure to make timely payments may result in suspension or termination of the Services.

4. Intellectual Property

• All rights, title, and interest in the final design shall transfer to Client only upon full payment.
• Until full payment is made, all rights remain with Aida Pioneer Inc., and Client is prohibited from using drafts, concepts, or preliminary materials.
• Unauthorized use constitutes copyright infringement and may result in legal action.

5. Client Responsibilities

• Client must provide accurate information in the brief.
• Client is responsible for reviewing and approving deliverables within the agreed timeline.
• Delays in communication from Client may extend the project timeline.

6. Revisions Policy

• Up to 2 rounds of revisions are included in the project fee.
• Additional revisions may be provided at an extra cost, subject to a separate agreement.

7. Refunds and Cancellations

• The deposit is non-refundable under any circumstances.
• If Client cancels the project after work has started, no refunds will be issued.
• Client may not use or exploit any concepts or drafts provided prior to cancellation.

8. Confidentiality
Both parties agree to keep all non-public information shared during the project confidential, except as required by law.

9. Limitation of Liability

• Aida Pioneer Inc. shall not be liable for any indirect, incidental, or consequential damages arising from the use of the design.
• Our maximum liability shall not exceed the total amount paid by Client under these Terms.

10. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of California.
Any disputes shall be resolved exclusively in the state or federal courts located in Sacramento County, California.

11. Acceptance
By submitting a brief, making a payment, or checking the “I Agree” box on our website, Client acknowledges and agrees to these Terms and Conditions.
